Terms of Service

Last updated: October 3, 2026

1. Who we are

VeerMo (“VeerMo”, “we”, “us”) is a WhatsApp Business API platform operated by Smart Marketing Services (“Company”), B-002, Visamo CHS, Gorai Road, Borivali West, Mumbai 400091. These Terms of Service (“Terms”) govern access to and use of the VeerMo dashboard, APIs, and related services (the “Service”). By creating an account you agree to these Terms on behalf of yourself and the business you represent (“you”, “your organization”).

2. The Service

VeerMo lets businesses send WhatsApp campaigns, manage message templates, automate conversations, and view delivery and analytics reporting, built on top of the Meta WhatsApp Business (Cloud API) platform. Each customer account is provisioned as a separate tenant; access is scoped to your organization’s own data.

Because the Service sends messages through Meta’s WhatsApp Business Platform, your use is also subject to Meta’s WhatsApp Business Messaging Policy, Commerce Policy, and Platform Terms. We may suspend or limit messaging on your account if Meta restricts, rate-limits, or bans your WhatsApp Business number for policy violations — this is outside our control.

3. Accounts and eligibility

You must provide accurate company and contact details when registering, and verify your email address (and, where applicable, your WhatsApp Business number) before the account becomes active. You are responsible for safeguarding your login credentials and for all activity under your account. You must be authorized to act on behalf of the business you register.

4. Plans and billing

New accounts start on the Free plan, which costs nothing and needs no card. The Free plan has the limits shown on the plan page in your dashboard, such as the number of contacts, team seats and campaign recipients per month. There is no free trial of paid plans. Accounts that began a free trial before 3 October 2026 keep it on the terms they signed up under.

Paid plans are billed monthly in advance at the price shown on the plan page, plus 18% GST. The first month is charged when you subscribe at checkout, and the subscription then renews automatically each month until it is cancelled. Where a yearly plan is offered, it is paid once, upfront, for 12 months and does not renew automatically; we remind you before it ends. Upgrading a yearly plan part-way through costs the price difference for the days left; a move to a lower plan takes effect at renewal. Subscription payments are processed by our payment partner, Razorpay; we do not store your card or bank details.

Price changes. We will give you at least 30 days’ notice by email before a price change applies to you. A change never applies to a period you have already paid for, and a yearly plan keeps its price until the end of its 12 months.

Cancellation and refunds. You can cancel a paid plan at any time from the plan page in your dashboard. Cancelling stops the next renewal; you keep the plan until the end of the period you have paid for, and your account then moves to the Free plan. Fees already paid are not refundable, including for unused months of a yearly plan, except where we charged you twice or in error.

Missed payments. If a payment for a paid plan fails, or a yearly plan ends without being renewed, your plan stays fully available for 7 days. For the next 7 days campaigns, automations, chatbots and API access are paused while your inbox keeps working. After that your account moves to the Free plan. Nothing is deleted at any stage, and paying at any point restores your plan.

We do not charge for WhatsApp messages. You connect your own WhatsApp Business Account, and Meta bills you directly for messages at Meta’s published rates. We add no markup; any per-message price shown in the dashboard is Meta’s rate, shown for your convenience. Meta’s message charges are between you and Meta and are not covered by this section.

5. Acceptable use

You agree not to use the Service to:

  • Send unsolicited, spam, or messages to recipients who have not opted in, or otherwise violate WhatsApp’s messaging and opt-in requirements;
  • Send content that is unlawful, fraudulent, deceptive, or that infringes a third party’s rights;
  • Attempt to circumvent tenant data isolation, rate limits, or access another organization’s data;
  • Reverse-engineer, resell, or provide the Service to third parties outside your organization without our written consent;
  • Interfere with or disrupt the integrity or performance of the Service or the WhatsApp platform.

We may suspend accounts that violate this section, WhatsApp’s policies, or applicable law.

6. Your data and content

You retain ownership of the contact lists, message templates, and campaign content you upload or send through the Service (“Customer Data”). You are responsible for having a lawful basis and, where required, recipient consent to message the contacts you upload. We process Customer Data on your behalf to provide the Service, as described in our Privacy Policy.

7. Service availability

We aim to keep the Service available and reliable but do not guarantee uninterrupted access. The Service depends on third-party infrastructure (including Meta’s WhatsApp Cloud API, our hosting and database providers, and payment processors) and outages on their side may affect availability outside our control.

8. Termination

You may cancel your account at any time from the dashboard. We may suspend or terminate accounts for non-payment, breach of these Terms, or violation of WhatsApp’s policies, with notice where reasonably possible. On termination, your right to use the Service ends; we will handle any retained data as described in the Privacy Policy.

9. Disclaimers and limitation of liability

The Service is provided “as is” without warranties of any kind, express or implied. To the maximum extent permitted by law, the Company will not be liable for indirect, incidental, or consequential damages, or for losses arising from actions taken by Meta or other third-party platforms we integrate with (including template rejections, number bans, or API changes).

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via the dashboard or email before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

11. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts at Mumbai, India shall have exclusive jurisdiction over any disputes, unless otherwise required by applicable law.
